By placing an order with JJ Secuwatch for any products or equipment (“Goods”), the Customer accepts these Terms and Conditions of Sale in full. These terms apply to every order unless JJ Secuwatch has agreed different terms with the Customer in writing.
1. Pricing and GST
Prices quoted by JJ Secuwatch, whether on a formal quote, price list, or invoice, reflect pricing current at the time and may change without notice before an order is confirmed. All prices are exclusive of GST unless stated otherwise, and GST is payable on all Goods supplied. The Customer is responsible for any additional costs on top of the Goods price, including freight, stamp duty, government levies, and similar charges, unless JJ Secuwatch has expressly agreed to absorb them.
2. Payment Terms
Unless the Customer holds an approved trade account with JJ Secuwatch, payment for all Goods is required on or before delivery (cash on delivery). Customers wishing to purchase on account must apply for, and be approved for, credit terms with JJ Secuwatch before ordering on that basis.
Where an account has been approved, invoices are due within 30 days of the end of the month in which they are issued, and payment by that date is a strict condition of the account; time is of the essence. Account customers who pay within 10 days of the invoice date receive a 2.5% early payment discount; this discount is forfeited if payment falls outside that window.
If an account falls into arrears, JJ Secuwatch may withdraw any discounts or rebates otherwise available to the Customer, may revert the account to cash on delivery terms, and may charge interest on the overdue balance at 1% above the NAB Limited indicator lending rate in effect at the time, calculated from the due date until payment is received in full.
3. Delivery
Quoted delivery timeframes are estimates, not guarantees. JJ Secuwatch is not liable for loss or damage caused by delivery delays, and a delay does not give the Customer grounds to cancel an order. Once Goods leave JJ Secuwatch’s premises, responsibility for loss or damage in transit sits with the courier or freight provider, not JJ Secuwatch.
JJ Secuwatch may deliver a reasonable amount more or less than the quantity ordered, and the Customer agrees to pay for any additional Goods delivered at the agreed contract price. Where JJ Secuwatch has agreed to supply Goods to the Customer on an ongoing or scheduled basis for an indefinite term, the Customer accepts that JJ Secuwatch may hold up to twelve months’ worth of stock against the Customer’s anticipated requirements. A delivery docket accompanies each shipment, with the corresponding invoice issued within 7 days of delivery.
4. Shortages and Discrepancies
Any claim that a delivery arrived short must be made to JJ Secuwatch in writing within 7 days of receiving the Goods. Claims raised after that window, or shortages not reported at all, are treated as waived, meaning the Customer cannot later reject or dispute the delivery on that basis.
5. Limitation of Liability
Where Goods supplied by JJ Secuwatch are installed or used alongside equipment from another supplier, JJ Secuwatch gives no warranty over that combination and accepts no liability for any resulting loss or damage. Where JJ Secuwatch manufactures or configures Goods to specifications provided by the Customer, the Customer agrees to indemnify JJ Secuwatch against any third party claims arising from those specifications, including intellectual property claims (patents, trademarks, registered designs, or copyright).
To the extent permitted by law, JJ Secuwatch excludes liability for any loss, damage, or injury, whether financial or physical, including anything arising from the negligence of JJ Secuwatch or its staff or agents, and including consequential loss. The Customer agrees to indemnify JJ Secuwatch for losses or costs it incurs as a result of the Customer’s failure to meet its obligations under these terms.
Nothing in this clause limits any right or remedy the Customer has under the Competition and Consumer Act 2010 or equivalent state legislation that cannot lawfully be excluded. Where the law allows JJ Secuwatch to limit its liability for defective Goods due to faulty materials or workmanship, that liability is limited, at JJ Secuwatch’s election, to repairing or replacing the Goods, supplying equivalent Goods, refunding the cost of doing so, or re supplying any affected service.
6. Title and Risk
Ownership of the Goods remains with JJ Secuwatch until the Customer has paid in full for those Goods and any other amounts owing to JJ Secuwatch on the Customer’s account. Risk, however, passes to the Customer as soon as the Goods are delivered to the Customer, the Customer’s agent, or the Customer’s courier, so the Customer carries the risk of loss or damage from that point even though JJ Secuwatch still holds title.
Until full payment is received, the following applies. The Customer holds the Goods on behalf of JJ Secuwatch and must keep them identifiable and separate from other stock. The Customer may sell the Goods in the normal course of its business, but any proceeds must be held on trust for JJ Secuwatch in a separate account, kept apart from the Customer’s own funds, and accounted for to JJ Secuwatch. If the Customer uses the Goods in its own manufacturing, integration, or installation work, the Customer holds the corresponding portion of any proceeds from that work on trust for JJ Secuwatch, up to the value still owed for those Goods. The Customer is not JJ Secuwatch’s agent when selling the Goods, and nothing in this clause makes JJ Secuwatch party to that sale.
If the Customer defaults on these terms, JJ Secuwatch may recover the Goods without notice, including entering premises where the Goods are stored to do so, and sell them on terms it determines, deducting its costs of recovery and sale from the proceeds.
7. Personal Property Securities Act (PPSA)
Terms used in this clause carry the meaning given to them in the Personal Property Securities Act 2009 (Cth). The Customer acknowledges that clause 6 above grants JJ Secuwatch a Security Interest in the Goods and their proceeds (including any Accounts and Accessions), and that any credit or retention of title supply under these terms creates a Purchase Money Security Interest.
The Customer agrees to provide all information and assistance needed for JJ Secuwatch to register and maintain a Financing Statement on the PPSR, to notify JJ Secuwatch before changing the Customer’s name, ACN, or ABN, to not require a verification statement for any registration made, and to cover JJ Secuwatch’s reasonable costs of registering, amending, or discharging a registration. To the extent the law allows, the Customer agrees that sections 96, 115, 118, 121(4), 125, 129, 130, 132, 134, 135, 142, 143 and 157 of the PPSA (and related provisions) do not apply to this arrangement, and waives its rights under those sections. JJ Secuwatch may exercise any PPSA remedy available to it, including entering premises to locate, seize, or dispose of Goods in which it holds a Security Interest, and the Customer appoints JJ Secuwatch as its attorney to sign any documents reasonably needed to protect or enforce its rights under this clause.
8. Returns
Returns are considered on a case by case basis and are not guaranteed; any return needs to be agreed with JJ Secuwatch in writing before Goods are sent back. Custom or non standard Goods, or Goods configured to the Customer’s specification, generally cannot be returned. If Goods arrive damaged, JJ Secuwatch needs to be notified as soon as the Customer becomes aware of it, and in any case within 7 days of delivery, so the matter can be assessed promptly.
Where a specific return policy applies to the Customer’s invoice (for example, JJ Secuwatch’s standard refund and restocking fee terms), that policy sets out the applicable timeframes and conditions and takes precedence over this clause for the situations it covers.
9. Storage
If delivery instructions are not provided in time, or Goods are not collected by the agreed date, JJ Secuwatch may charge a reasonable fee to store them until collection or delivery can proceed.
10. Changes and Cancellations
Orders cannot be cancelled without JJ Secuwatch’s written agreement, and any cancellation accepted may require the Customer to cover costs or losses already incurred. Likewise, changes to an order, or to these terms, only take effect once confirmed by JJ Secuwatch in writing.
11. Product Substitution
Unless agreed otherwise in writing, JJ Secuwatch may substitute Goods with an alternative product of equivalent specification and function.
12. General
A decision by JJ Secuwatch not to act on a breach of these terms on one occasion does not waive its right to act on a future breach. These terms are governed by the laws of New South Wales, and both parties submit to the jurisdiction of its courts.
